Vendor Terms & Conditions

(HR Consultancy / Recruitment Services)

This Agreement outlines the terms and conditions between MICS (“Vendor/Consultant”) and [Client Company Name] (“Client”) for the provision of recruitment and onboarding services.

1. Scope of Services

The Vendor shall provide recruitment and talent acquisition services to the Client, including sourcing, shortlisting, screening, and coordination for onboarding candidates as per the requirements shared by the Client.

2. Service Fees & Billing Terms

• The Client agrees to pay recruitment service fees upon successful onboarding of the selected candidate(s) as per the agreed commercial proposal.
• The billing cycle and payment terms may vary and will be mutually agreed in the commercial agreement / purchase order / email confirmation.
• Invoices must be settled within the timeline specified in the agreed billing cycle.

3. Candidate Ownership

All profiles shared by the Vendor will be considered the Vendor’s submission for a period of 6 months from the date of submission. If the candidate is hired within this window through any channel, the service fee will be applicable.

4. Replacement Policy

• The Vendor will provide a free replacement if the selected candidate resigns or is terminated due to performance issues within X days (period mutually agreed).
• Replacement applies only if the Client has cleared all outstanding invoices on time.
• After the replacement period, no free replacement shall be applicable.

5. Non-Solicitation

The Client shall not engage the candidate directly to bypass recruitment service charges. If done, the full service fee shall be payable.

6. Confidentiality

Both parties agree to maintain confidentiality of candidate data, business information, and all documentation shared during the engagement.

7. Termination

• Either party may terminate the partnership with 30 days’ written notice.
• All invoices for onboarded candidates remain payable in full.
• Replacement commitments remain subject to timely payments.

8. Liability

The Vendor offers recruitment services on a best-effort basis and is not responsible for the performance, conduct, or long-term employment of the selected candidate.

9. Jurisdiction

Any disputes arising out of this agreement shall fall under the jurisdiction of Jaipur, Rajasthan, India.

Acceptance

By engaging the Vendor for recruitment services and onboarding candidates, the Client agrees to all terms and conditions stated above, unless a separate written agreement supersedes it.
